The milestone-based condition is achievement of the Market Capitalization Milestone Condition (as set forth in the grant agreement). The service-based condition is satisfied as to 25% of the underlying shares on the Market Capitalization Milestone Date and as to the remaining shares in 36 substantially equal successive monthly installments over the three-year period thereafter.
