The Reporting Person was awarded performance stock units under the Company s Stock Compensation Plan Subject to Total Shareholder Return (TSR). The performance stock units may, at the Company s discretion, be settled in ordinary shares, American depositary shares (each representing five (5) ordinary shares) (ADSs) or the equivalent value in cash. The number of ordinary shares, ADSs (or equivalent value in cash) to be delivered upon vesting will be determined by reference to the Company s TSR over a three-year period following the award date (including the year the award was made) and calculated in accordance with the plan. The Reporting Person was awarded restricted stock units under the Company s Stock Compensation Plan. The restricted stock units may, at discretion of the Company, be settled in ordinary shares, ADSs or the equivalent value in cash. The restricted stock units vest in substantially equal installments on January 1 of each of the three years following the award date, subject to the Reporting Person continued employment with the Company through each such vesting date, commencing on January 1, 2027.
