Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs vest in three equal annual installments beginning on the first anniversary of the grant date and on each anniversary date thereafter, subject to the Reporting Person's continued service as a director of the Issuer through such date.

Palm Management (US) LLC and the Reporting Person expressly disclaim such beneficial ownership except to the extent of their pecuniary interest therein.
