1. (F1)Upon the completion of the Issuer's initial public offering of Class A Common Stock ("IPO"), each share of Class A Common Stock shall be exchanged at a 1:1 ratio for shares of Class B Common Stock.
2. (F2)Includes 1,854,134 shares issuable on settlement of restricted stock units ("RSUs"). Immediately following the completion of the IPO, at the election of the Reporting Person, each share of Class A Common Stock issued upon vesting and settlement of RSUs may be exchanged at a 1:1 ratio for a share of Class B Common Stock. The vesting of the RSUs is contingent upon both (i) a service-based requirement (the "Service Milestone") and (ii) a liquidity event-based requirement (the "Liquidity Event Milestone"). If both the Service Milestone and the Liquidity Event Milestone are achieved, 50% of the shares subject to the RSU vest on May 15, 2025 and 3.125% of the remainder shall vest quarterly over 48 months.
