1. (F1)Pursuant to the transaction agreement (the "Transaction Agreement") between Endo, Inc. ("Endo") and Salvare Merger Sub LLC, a wholly owned subsidiary of the Issuer ("Merger Sub"), on July 31, 2025, Merger Sub merged with and into Endo (the "Merger"), with Endo surviving the Merger as a wholly owned subsidiary of the Issuer. As a result of the Merger, certain shares of common stock of Endo were cancelled and converted into the right to receive a number of Ordinary Shares of the Issuer and cash consideration as set forth in the Transaction Agreement.
2. (F2)This Form 4 is filed on behalf of GoldenTree Asset Management LP (the "Advisor"), GoldenTree Asset Management LLC (the "General Partner") and Steven A. Tananbaum (collectively, the "Reporting Persons"). The Advisor is the investment manager or advisor to certain funds and separate accounts managed by the Advisor (the "Funds") and may be deemed to have a pecuniary interest in the securities directly held by the Funds. The General Partner is the general partner of the Advisor and may be deemed to have a pecuniary interest in the Ordinary Shares reported herein in which the Advisor has a pecuniary interest. Steven A. Tananbaum is the managing member of the General Partner and may be deemed to have a pecuniary interest in the Ordinary Shares reported herein in which the Advisor and the General Partner have a pecuniary interest.
